ARTICLE I
NAME AND JURISDICTION

Section 1:  Name

The name of this organization shall be Senate District 32 Republican Committee, hereinafter called the "Committee."

Section 2:  Jurisdiction

The jurisdiction of the Committee shall be limited to the geographic area within the boundaries of Senate District 32, Hennepin and Wright counties, Minnesota.

ARTICLE II
PURPOSES AND DUTIES

Section 1:  Purposes

The purposes and duties of the Committee shall include those imposed by the laws of the United States of America and the State of Minnesota, by the Constitution of the Third Congressional District , the constitution of the State Republican Party of Minnesota and by the Committee's own Constitution as set forth herein. Robert's Rules of Order, Newly Revised, shall be the parliamentary authority on all points not covered by the aforementioned documents.

Section 2:  Duties

The duties of the Committee shall include, but are not limited to, the following:

  1. The Committee shall have the responsibility to coordinate activities that encompass the entire Senate District 32.
  2. The Committee shall carry out such duties as may be appropriately requested by the State Republican Party of Minnesota Executive Committee and the Third Congressional District Republican Committee.
  3. The Chairs of the Committee shall represent Senate District 32 on the Third Congressional District Full Committee. If representation on the Third District changes to allow more representatives, the Committee shall determine how the adjustment is to be handled.
  4. Endorse candidates for office and assist in the election of those endorsed candidates.
  5. To raise sufficient funds to ensure that the duties of the Senate District can be carried out to the best extent possible
  6. To encourage volunteering and participating in campaigns and to ensure the success of Get-Out-The-Vote (GOTV) efforts
  7. To encourage and support formation and involvement of local affiliated groups, including local Teenage Republican groups.

ARTICLE III
MEMBERSHIP

Section 1:  Full Committee Composition

The Senate District 32 Full Committee shall be composed of the following voting members:

  1. Senate District Officers comprised of two Co-Chairs, Secretary, Treasurer, and an appointed Finance Chair. Election of Officers shall take place at the duly convened Senate District 32 Convention in odd numbered years, or any year after redistricting. Officers must reside in Senate District 32, but need not be delegates to the convention.
  2. No less than five and no more than ten elected Vice-Chairs. Election of the Vice-Chairs shall take place at the duly convened Senate District 32 Convention in odd numbered years, or any year after redistricting. Vice-Chairs must reside in Senate District 32, but need not be delegates to the convention.
  3. The Chair and Co-Chair of each Precinct in Senate District 32.
  4. Any elected Republican official who resides within the boundaries of the Senate District shall be considered ex-officio, non-voting members, except those elected Republican officials who were not endorsed in the last election cycle.
  5. The Chair or other official representative of any Teenage Republican groups duly formed at high schools contained in the Senate District

Section 2:  Full Committee Duties

The Duties of the Senate District Full Committee are as follows:

  1. Responsibility for overall supervision and monitoring of broad goals, specific objectives, and plans of Senate District 32.
  2. Assure all Senate District 32 wide programs as requested by the Third District Committee are carried out in an efficient and productive manner.
  3. Develop lines of communication and rapport with the party organizations throughout Senate District 32.
  4. Hold a minimum of four (4) regular meetings per year. No more than one regular meeting shall be held in any calendar month.

Section 3:  Executive Committee Composition

There shall be an Executive Committee which shall consist of the two co-chairs, secretary, treasurer, finance chair and the vice chairs.

Section 4:  Executive Committee Duties

The duties of the Executive Committee are as follows:

  1. Conduct the necessary business of the Senate District between meetings of the Full Committee and to carry out the directives given by the Full Committee.
  2. Hold a minimum of six regular meetings per year. No more than one regular meeting shall be held in any calendar month.
  3. Prepare an annual budget, set fund raising targets and goals, and outline methods to achieve the fundraising goals.
  4. Appoint a Search Committee to actively recruit Republican candidates for each office in which Republican endorsement is granted.

Section 5:  Quorum

  1. The quorum required to transact business at Senate District Full Committee meetings shall be one-third of the total current membership of the Full Committee. Ex-officio members do not count towards the determination of quorum. Once a quorum has been established, there shall be no further question as to the quorum.
  2. The quorum required to transact business at Senate District Executive Committee meetings shall be fifty percent of the total current membership of the Executive Committee.

Section 6:  Termination of Executive or Full Committee Membership

  1. Membership on the Executive or Full Committee shall terminate without further action when a member:
    1. Submits a written resignation or ceases
    2. Ceases to qualify for membership in Senate District 32.
    3. Accepts endorsement from any non-Republican political party.
  2. It is the duty of all Full Committee members to support Republican endorsed candidates. Should any member of this body actively and publicly campaign against a Republican endorsed candidate, or support in any fashion a candidate running against a duly endorsed Republican candidate, those actions shall lead to consideration of those charges by the Executive Committee.
  3. Removal may be sought for failure to cooperate in carrying out the assigned duties of office; for obstructing the carrying out of the Party's business or functions; or for actions that may disparage the good name of the Senate District.
  4. Removal shall be sought for members who declare membership in or association with a political party other than the Republican Party.
  5. Charges against a member may be brought by any Full Committee member.
  6. Charges shall be filed with the Senate District Secretary and brought before the Executive Committee no later than the next regular meeting. The Executive Committee shall consider the charges. Upon approval by a majority of the Executive Committee, those charges shall be forwarded to the Full Committee for consideration no later than the next regular meeting of the Full Committee.
  7. The Executive Committee shall give notice of every proposal for removal of an Executive or Full Committee member in the written notice of the Full Committee meeting. The individual concerned shall be provided with a statement of the allegations not less than seven days prior to such meeting, and shall be entitled to be heard in his/her defense at the meeting considering removal.
  8. Executive or Full Committee members may be removed from the committee for chronic lack of participation (unexcused absence at three regular meetings in any one calendar year).
  9. After having charges brought and the official removal process followed, a member of the Full or Executive Committee may be removed only by a vote of 2/3 of the Full Committee present at the Full Committee meeting where the removal is being considered.

Section 7:  Vacancies

  1. In the event that a Senate District Officer, Vice-Chair or Precinct Co-Chair resigns, ceases to reside in the Senate District, or otherwise vacates their position, the Executive Committee may appoint a replacement contingent upon approval of the Full Committee at the next regular or special Full Committee meeting. The Executive Committee shall strive to fill all vacancies on the Executive Committee.
  2. The Executive Committee must appoint a temporary replacement for the office of Treasurer in order to conduct the financial business of the Senate District as required by law.

Section 8:  Limitations

  1. The Co-Chairs shall be the official spokesmen for the Senate District. No other member of the Executive Committee may make oral or written statements on behalf of the Senate District without the approval of two-thirds of the Executive Committee.
  2. An Executive Committee member shall not hold a position of Chair, Treasurer, Campaign Manager or Finance Chair on any candidate's campaign committee without first obtaining the consent of two-thirds of the Executive Committee.

Section 9:  Email Communcation & Meeting Notice

  1. The primary means of communication to the Executive and Full Committee members will be by email. Executive and Full Committee members shall provide the Secretary with a primary email address that is checked on a regular basis, and agree to keep the Secretary updated if the member's primary email address changes. Meeting notices will also be posted to the then-current group mail list.
  2. Written notice of regular meetings of the Executive and Full Committees shall be emailed at least 7 days prior to each meeting.
  3. Special meetings may be called by either Co-Chair or by three members of the Executive Committee with three days notice by telephone or email.

ARTICLE IV
CONVENTIONS AND ELECTIONS

Section 1:  Annual Convention

A Senate District convention shall be held annually within a time frame set by either a relevant Congressional District Executive Committee or the State Executive Committee at a time and place determined by the Senate District Executive Committee.

Section 2:  Convention Eligibility

The Senate District Convention shall be composed of the delegates and alternates elected at the last precinct caucus who continue to reside in the precinct in which elected and as allotted to the precinct by the Full Committee. These delegates and alternates shall also serve as delegates and alternates to their respective House District Conventions and any special conventions.

Section 3:  Convention Committees

Prior to each convention, the Senate District Executive Committee shall establish rules, resolutions, credentials, registration and such other committees as may be deemed necessary, composed of delegates or alternates to the Senate District Convention. Committees shall include, at minimum, a committee Chair and at least one person from each House District. The membership, including the Chair, shall not exceed 9.

Section 4:  Convention Business

  1. The Convention shall transact such business as is specified by the laws of Minnesota and in the call of the Convention, and may transact such other business as may properly be brought before the convention.
  2. In even-numbered years, the Convention shall consider endorsement of candidates for the state legislature, consider resolutions on party and governmental matters, and elect delegates and alternates to the relevant Congressional District and State Conventions.
  3. In odd-numbered years, or after redistricting, the Convention shall elect Senate District officers.
  4. In odd-numbered years the Convention shall elect State Central Committee Delegates and Alternates.
  5. In odd-numbered years, the Convention shall elect Third Congressional District Full Committee Delegates and Alternates.

Section 5:  Special Conventions

Special conventions may be held at such time and for such purposes as the Senate District Executive Committee may determine including conventions to consider endorsement of candidates for local offices. For a local election, candidates shall appear before a search committee consisting of the chair of the Senate District 32 Search Committee and at least two Senate District 32 delegates or alternates residing in the locality in which the election is occurring as appointed by the Executive Committee. The endorsing convention for local races shall consist of all Senate District 32 delegates and alternates who reside in the locality in which the election is occurring.

Section 6:  Endorsement

The endorsement of a candidate for public office must receive at least sixty percent of the voting strength as reported by the final report of the credentials committee.

ARTICLE V
AMENDMENTS

Section 1:  Conflicts of Interest

To prevent conflicts of interest, a Senate District Officer must take a leave of absence from their SD32 office upon announcing their intention to seek endorsement for any public office. The leave of absence will terminate upon completion of the endorsing convention.

Section 2:  Amendment Process

This Constitution may be amended by a majority of the seated Delegates and Alternates present at any Senate District 32 Convention, provided that any proposal for amendment shall be presented to the Executive Committee at least 25 days prior to the convention where the amendments are to be considered, except that motions from the convention floor to amend a duly filed constitutional amendment may be considered to the extent that they are germane to the amendment.

Upon receiving a proposed amendment, the Executive Committee shall refer the matter to a Constitution committee comprised of at least a Chair and a person from each House District. The Constitution Committee shall issue a majority, and if necessary, a minority report, along with the proposed language of the amendment. Said report(s) and the language shall be posted on the Senate District Web Site in conjunction with the issuance of the Convention Call, and notice that such an amendment is to be considered included in the Call.

ARTICLE VI
EFFECTIVE ADOPTION

Section 1:  Adoption

This Constitution became effective upon the affirmative vote of a majority of the delegates and alternates present at the 2005 Senate District 32 Convention.
